These Terms and Conditions (the “Terms”) govern the relationship between Kings Distro Inc. (“Kings Distro”, “we”, “us”) and any business or person (“you”, “Buyer”) who applies for a trade account, places an order, or otherwise uses vibezystore.com (the “Site”). By applying for an account or placing an order, you accept these Terms in full.
1. Trade supply only
Kings Distro is a wholesale distributor. We supply approved business accounts only. Nothing offered on this Site is sold to the general public, and no offer of sale is made to any individual consumer. We may decline any application or order at our discretion.
You represent that you are purchasing for resale in the ordinary course of a lawful business, that you hold every licence, permit and registration your jurisdiction requires for the products you order, and that you are at least 21 years of age.
2. Account applications and approval
Access to pricing and ordering requires an approved trade account. You agree that all information and documentation you submit is accurate and current, and that you will tell us promptly if it changes or if any licence is suspended, revoked or not renewed.
We may request business registration, resale or sales tax certificates, tobacco or other product licences, and photo identification. We may verify this information with issuing authorities. Approval is not a guarantee of continued supply.
3. Orders and acceptance
An order placed through the Site is an offer to buy. No contract is formed until we accept the order and it is dispatched. If a product is mispriced, out of stock, or cannot lawfully be supplied to your address, we may cancel the order or any part of it and refund any amount paid.
Order minimums, case quantities and account-specific pricing may apply and are shown at the time of ordering.
4. Pricing and payment
Prices are quoted in US dollars, exclusive of shipping, excise and sales taxes, and any duty or regulatory fee. Prices are subject to change without notice; the price that applies is the one in effect when we accept your order.
Payment terms are those stated on your account or invoice. Where terms are extended, invoices are due in full by the stated due date. We may charge interest on overdue balances at the maximum rate permitted by Virginia law, suspend open orders, place an account on hold, and recover reasonable costs of collection.
You are responsible for all applicable excise, tobacco and sales taxes in your jurisdiction unless a valid exemption certificate is on file with us.
5. Delivery, title and risk of loss
Delivery estimates are estimates only and time is not of the essence. Shipping, carrier restrictions and jurisdiction limits are set out in our Shipping Policy, which forms part of these Terms.
Title and risk of loss pass to you on delivery to the carrier, unless stated otherwise in writing. Claims for shortage, damage or non-conforming goods must be made in accordance with our Returns & Refunds policy.
6. Your compliance obligations
This is the most important section of these Terms. Products supplied by Kings Distro are subject to federal, state and local regulation that differs by jurisdiction and changes frequently. You are solely responsible for the lawful handling, marketing and resale of everything you buy from us.
You agree that you will, at your own cost:
- hold and maintain every licence, permit, registration and bond required where you operate;
- verify the age of every purchaser at the point of retail sale, and refuse sale to anyone under the minimum legal age in your jurisdiction;
- collect and remit all excise, tobacco and sales taxes due;
- comply with the Prevent All Cigarette Trafficking (PACT) Act and any state equivalent, including registration and reporting obligations, where these apply to products you buy from us;
- comply with all packaging, labelling, signage, advertising and flavour restrictions that apply where you sell;
- not resell into any jurisdiction where a product is restricted or prohibited; and
- not make any therapeutic, medical or health claim about any product.
We do not advise on the law of your jurisdiction. Nothing on this Site, in our catalogue, or in any communication from us is legal advice, and no statement by us should be taken as confirmation that a product may lawfully be sold where you are. Determining that is your responsibility, and you should take your own professional advice.

7. Product information and warranties
Product descriptions, images, specifications and certificates of analysis are provided by manufacturers and suppliers. We pass them on in good faith but do not independently verify them and do not warrant their accuracy. Packaging and formulation may change without notice.
Products are supplied with such manufacturer warranty as the manufacturer offers, and we will pass through any such warranty where we are able to. To the fullest extent permitted by law, and except as expressly stated in these Terms, we disclaim all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
No product offered on this Site has been evaluated by the US Food and Drug Administration. No product is intended to diagnose, treat, cure or prevent any disease.
8. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to any order, product, or these Terms will not exceed the amount you paid for the specific goods giving rise to the claim.
We will not be liable for lost profits, lost revenue, loss of business, regulatory fines or penalties, or any indirect, incidental, special, consequential or punitive damages, however caused, even if we have been advised of the possibility of them.
Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Indemnification
You agree to indemnify and hold harmless Kings Distro Inc., its officers, employees and agents from any claim, demand, penalty, loss or expense (including reasonable legal fees) arising from your resale, marketing, storage or handling of products bought from us, your breach of these Terms, or your failure to comply with any law or regulation applicable to your business.
10. Returns
Returns are governed by our Returns & Refunds policy. Age-restricted and regulated products cannot be returned once they have left our custody, except where they arrive damaged or were shipped in error.
11. Intellectual property
The Site, its design, text and images are owned by Kings Distro Inc. or licensed to us. Brand names, logos and product imagery belong to their respective owners. Approval of a trade account does not grant you any licence to use our marks except to identify products you have bought from us for resale.
12. Suspension and termination
We may suspend or close an account, withhold shipment, or cancel an accepted order where we reasonably believe that a licence is invalid or expired, that information given to us is inaccurate, that products are being resold unlawfully or into a restricted jurisdiction, that payment terms have not been met, or that continuing to supply would expose us to legal or regulatory risk.
13. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including carrier refusal to transport a product class, regulatory action, supply interruption, natural disaster or civil disruption.
14. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the state and federal courts sitting in Richmond, Virginia.
15. Changes to these Terms
We may amend these Terms at any time by posting an updated version on this page. The version in effect when we accept your order applies to that order. Continued use of your account after a change takes effect constitutes acceptance.
16. Severability and entire agreement
If any provision of these Terms is held unenforceable, the rest remains in force. These Terms, together with the Shipping Policy, Returns & Refunds policy, Age-Restricted Products Notice and Privacy Policy, are the entire agreement between us regarding their subject matter.
